1.2. Ownership Transition

OmniBay Global Data Services, LLC is ceasing operations and transferring all its assets, systems, and data to PanAtlantic Global Holdings. PanAtlantic will now manage all services provided by OmniBay Global, including your account and personal data. If you do not agree to the terms under the new ownership, you may terminate this Agreement by closing your account and no longer accessing or using the Services.

By continuing to use the Services, you agree to the transfer of your data and account management to PanAtlantic Global Holdings.

1.3. Scope of Services

PanAtlantic Global Holdings provides video-based sales training, back-office support, and lead generation services to life insurance agents (“Team Members”). These Services are offered through various subscription levels and may include, but are not limited to, training, access to leads, and other business development resources.

We reserve the right to modify, suspend, or discontinue any services at any time without notice.


2. Account Obligations

2.1. Account Confidentiality

You are responsible for maintaining the confidentiality of your account login information. You agree not to share your account with others and will be responsible for any actions taken under your account unless you have notified us of unauthorized access.

2.2. Payment Terms

By subscribing to our Services, you agree to pay the fees for the selected subscription level. Subscription fees are due on a recurring basis (monthly or annually) as specified at the time of purchase. Failure to pay may result in termination of your account.

If your payment fails, we may charge your stored payment method or suspend your account until the outstanding balance is cleared.

2.3. No Refund Policy

All payments made are non-refundable, except as required by law. You may cancel your subscription at any time, but cancellation does not absolve you of any unpaid charges.


3. Intellectual Property

PanAtlantic Global Holdings retains all intellectual property rights to the content and materials provided through the Services, including but not limited to training materials, videos, and software. Your subscription grants you a limited, revocable, non-exclusive right to access and use the Services for the duration of your subscription.

You agree not to share, distribute, or reproduce any content from the Services without our explicit written consent.

3.2. Data Ownership and Transfer

As part of the ownership transition from OmniBay Global to PanAtlantic Global Holdings, all systems, assets, and data, including personal information, are being transferred to PanAtlantic. We reserve the right to further transfer, assign, or share your personal data with our affiliates or third-party service providers for business purposes, as outlined in our Privacy Policy.


4. Disclaimer and Limitation of Liability

4.1. No Warranty

We provide our Services “as is” without any express or implied warranties. While we strive to provide high-quality Services, we do not guarantee uninterrupted, error-free use or absolute accuracy in the content provided.

4.2. Limitation of Liability

To the fullest extent permitted by law, PanAtlantic Global Holdings will not be liable for any indirect, incidental, or punitive damages arising from your use of our Services. Our total liability for any claims arising out of or related to this Agreement will not exceed the amount you paid for Services in the 12 months preceding the claim.


5. Indemnification of Imalico Insurance Agency

You agree to fully indemnify, defend, and hold harmless Imalico Insurance Agency, its members, shareholders, staff, and owners from any claims, liabilities, losses, or damages arising from your use of our Services. Imalico Insurance Agency is solely a service provider to PanAtlantic Global Holdings, facilitating order fulfillment and related business services.


6. Termination

Both you and PanAtlantic Global Holdings may terminate this Agreement at any time by providing written notice to the other party. Upon termination, your right to access and use the Services will cease, but any outstanding fees or obligations will remain enforceable.

The following sections will survive termination: Sections 3 (Intellectual Property), 4 (Disclaimer and Limitation of Liability), and 6 (Governing Law and Dispute Resolution).


7. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the island of Nevis, without regard to its conflict of laws principles. Any disputes arising under this Agreement will be resolved through binding arbitration in accordance with the arbitration rules of Nevis.

You waive any right to participate in class actions, and arbitration will be conducted on an individual basis only.
